This page sets out the terms governing your use of this website (www.trillionfund.com). By accessing this website or by otherwise accessing any content found on this website or by using any digital application published by Trillion Fund Limited (“Trillion Fund”, ”we”, or “us”), you are entering into an agreement with Trillion Fund and agree to the terms that follow. If you do not agree to these terms of use, please refrain from using this website.

The website is owned and operated by Trillion Fund. Trillion Fund Limited is authorised and regulated by the Financial Conduct Authority under interim Permission (IPN: 662716) to operate an electronic platform for loan-based crowdfunding.


“Trillion Fund” is a registered trademark of Trillion Fund Ltd.

This website is designed for persons wishing to lend to or invest in renewable energy products. To do so, you will be required to register as a member. We may accept applications to register as a member and make loans and/or investments at our absolute discretion.

You will be required to provide personal details, an email address and a password in order to create an online Trillion Fund Account.

You must also provide us with the account details of the bank account from which you intend to make and receive payments (your "Nominated Account"). Your Nominated Account must be in the same name as the person who is registered with us and must be held with a bank within the European Economic Area or such other jurisdiction as is acceptable to us.

Short summaries of available offers can be viewed when browsing our website, but you will only be given access to detailed information about the lending and investment opportunities available through the Trillion Fund platform once you become a member. 

The membership application process is different for the loan-based crowdfunding services and the investment listing services we offer (prescribed in more detail in the SERVICES section below).

If you intend to make investments through the listing services available on the Trillion Fund platform, depending on the nature of the investment, you may also need to complete the following exercises, in order for us to confirm that you understand the risks which are inherent in making investments and ensure that you meet our investment criteria:

  1. A categorisation exercise: you will be asked to let us know if you fall within any of the following four categories of investor:
    1. sophisticated investor;
    2. high net worth individual;
    3. advised; or
    4. restricted investor.
  2. An appropriateness test: this explains the nature of risks involved in investing in non-readily realisable securities and you must confirm that you have understood those risks before you invest.

Once you register with Trillion Fund we will conduct identity and fraud checks on you. These checks may or may not include the use of third parties and by providing us with any personal or other details, you authorise us to carry out checks using credit reference agencies. If we cannot obtain adequate information from third party sources then we will ask you to send us copies of the relevant identification documents. If you do not provide all appropriate identification documents when requested then you will not be able to lend or invest via the Trillion Fund platform.

If we accept your application, we will provide you with your Trillion Fund Account details. We will also provide you with the details of the relevant client account, into which you will be required to transfer the money you wish to lend or invest through the platform, by debit card, cheque or BACS transfer.  As soon as we receive funds you can start lending and/or investing through the platform.

Depending on the particular lending or investment opportunity, there may be a minimum and maximum amount which you can commit to a loan/investment. Full details will be set out in the offer documentation provided on the Trillion Fund platform. You should always read the offer documents in full to understand offer specific conditions.

There are no charges associated with setting up a Trillion Fund Account (as opposed to making loans) and you will be able to log in at any time in order to monitor your loan portfolio and/or investments at any time through the "My Account" section of the website.

You warrant to Trillion Fund that all information you provide in the course of registration is accurate and you accept responsibility to update this information should it change.


The Trillion Fund's main service is an introducing service which enables you to make loans to borrowers through the Trillion Fund platform. We refer to this as loan-based crowdfunding. We will also provide listing services whereby we "signpost" other lending and investment opportunities, which third parties will arrange for you off-platform.

We also occasionally provide opportunities to invest in shares and debentures through the platform – these fall under different regulations and are referred to as investment-based crowdfunding.

In due course, Trillion Fund may facilitate the transfer of some loans and investments via a secondary market. At such time these terms will be amended accordingly.

Listing services

We provide listing services where we ‘signpost’ other lending and investment opportunities in the market which may be of interest to you. In doing so we generate enquiries for third party project developers and asset owners, who have their own arrangements in place to collect money and administrate the loan and who may pay us a listing fee and/or a fee per lender/investor.

The nature of the investment offered will vary and Trillion Fund acts purely as introducer, though where the offer is for a non-readily realisable security, Trillion Fund may undertake client categorisation and appropriateness tests  where required by the FCA's rules.

At the point where you select an investment opportunity and transfer to the third party site Trillion is no longer responsible for the financial promotion and you will need to follow the third party’s process, terms and conditions.

Loan-based crowdfunding

Borrowers will typically be energy project developers and asset owners and the manner in which the proceeds of the loan will be used will be set out in more detail in the marketing material for each lending opportunity, as set out on the Trillion Fund website.

The loans will be either (1) short-term, interest-only loans, with a term of 2-5 years, where the capital will be repaid to you at the end of the loan term; or (2) longer term loans with a term of more than 5 years. These loans will be amortised and capital and interest will be paid periodically during the term of the loan, until the entire loan has been repaid. Full details of the specific lending opportunities will be available on the Trillion Fund website.  

We have strict lending criteria and will carry out due diligence on all borrowers and lending opportunities before featuring them on the Trillion Fund platform. However, Trillion Fund does not validate claims made by the borrower and you should conduct your own research and analysis of a loan offer and seek independent advice where appropriate. Please refer to the section on Reliance below for more details.

If you make a commitment to a loan and we accept this, we will provide you with a loan agreement setting out the terms of the loan. The loan agreement will be provided to you electronically through the platform, although paper copies will be available on request. The terms of the loan agreement will vary from loan to loan, as each loan will be tailored to the requirements of each individual borrower and the project to be funded with the loan proceeds.

In providing the lending service, Trillion Fund will:

1.     provide full details of all borrowers and lending opportunities available on the platform;

2.     enter into loan agreements with borrowers as your agent on the terms provided to you;

3.     facilitate the payment and collection of sums due under or in connection with the loan agreement (including taking certain actions on behalf of lenders upon a borrower's default, or if the borrower becomes, or is likely to become, insolvent);

4.     where relevant, arrange for a security trustee to take security on the borrower's assets and attend to the recovery of any debts owing; and

5.     arrange for any capital and interest payments due under a loan to be collected and paid to you when due.

We will conduct KYC/AML checks, take payment by BACS, debit or credit card and hold money in our client money account held with Barclays Bank PLC where it will be held pending completion of the loan agreements. Trillion Fund will collect any interest and repayments made by borrowers (into the client money account) and distribute them to your Nominated Account when due.


Access to this website is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on this website without notice. You accept that we bear no liability, and we will not be liable, if for any reason our website is unavailable at any time or for any period.

From time to time, we may restrict your access to some or all of the website.

You are responsible for any arrangements required to enable you to have access to this website. You are also responsible for ensuring that anyone who accesses this website through your internet connection is aware of these terms and that she or he complies with them.


Once a lending opportunity has hit its fundraising target, we will notify you and provide you with a loan agreement, which will set out terms on which the loan will be made to the borrower. The funds that you have committed to a loan will be held in our client money account for 14 days (Cooling off period) before they are distributed to borrowers. If you have made a commitment to a loan but decide to change your mind during the 14-day period, you should notify us and your commitment will be cancelled. No fees will be payable if you cancel your commitment within the 14-day period.

Unless you notify us that you wish to cancel your commitment to a loan, after the 14-day period has expired, funds will be transferred to the borrower, and Trillion Fund will enter into the loan agreement with the borrower acting as agent for you and the other lenders.

There is currently no secondary market available through which you may sell out of your loan parts. You therefore agree and acknowledge that once you have made a commitment to a loan, you will not be entitled to withdraw from the loan until the expiry of the loan term unless and until we are able to develop a secondary market. The secondary market does not guarantee that you will be able to find someone to whom you can assign your loan on acceptable terms.

If the loan does not reach its fundraising target before the end of the specified period, the lending opportunity will be removed from the Trillion Fund platform and any commitments you have made to the loan will be cancelled.

We will commit your money to loans on the terms of the relevant loan agreement, which will set out the expected duration of the loans and the interest rates payable.  Loans will begin to accrue interest from the date that funds are transferred to the borrower and capital and interest payments will be distributed to you as set out in the loan agreement.

In certain circumstances, the borrower may wish to repay the entire loan early, which may mean that the term of your loan is less than the term specified in the loan agreement. If the borrower does repay the loan early, it will typically be required to make a payment to you in addition to your original loan commitment and full details of how this amount will be calculated will be set out in the loan agreement.

We will notify you if and to the extent that income tax is to be deducted from interest payments made to you by the borrower. It is your responsibility to account for any income tax and other personal taxes that may be payable to the appropriate authorities. Where we make a tax deduction (or any payment required in connection with that tax deduction) which is required under the relevant tax law, we will provide you with a certificate (or other reasonably satisfactory evidence) that such tax deduction has been made or an appropriate payment has been made to the relevant taxing authority.


In order to help ensure that borrowers will be able to meet their repayment obligations under the loan agreement, they will be required to maintain capital equivalent to six months' interest repayments within their businesses for the duration of the loan term.

In the case of secured loans, the borrower's obligations under the loan agreement will also be secured by a first legal charge over the borrower's assets, held by a security trustee named in the legal charge. In the event that a borrower fails to make a payment when due or defaults in meeting any material obligations of the loan, we will instruct the security trustee to enforce the security for your benefit and with your authority.

If the borrower misses a payment or only partially pays the amount due to you and the payment has not been made in full within 7 days, we may place the loan into default and pass it to a debt collection agency, which may attempt to collect the total loan amount outstanding immediately. Where the loan is secured, we may pass this to the security trustee to attempt to collect payment.

If the security trustee is still unable to collect the debt and the security held is not sufficient to recover all of the debt, Trillion Fund will notify you that all of the outstanding loan parts will be novated to the security trustee. The security trustee will then have standing to take legal proceedings against the borrower and negotiate the terms of repayment without recourse to the lenders. The security trustee will have authority to instruct third parties, such as solicitors, in order to pursue the debt. You agree that the security trustee will pay back to lenders their proportionate share of any funds successfully recovered, less its costs incurred during that recovery.

The existence of a legal charge should not be considered to be an absolute guarantee of certain repayment in the event of failure by the borrower in meeting its payment obligations.

We will keep you up to date with the progress of efforts to collect missed payments and to recover defaulted debt.


If you no longer wish to be a member and you do not have any loans outstanding, you can notify us and we will close your Trillion Fund Account within 30 days.

We may also end your membership if you are in breach of these terms and conditions or if we believe it to be desirable for legal or regulatory reasons.  In these circumstances we may attempt to wind up your outstanding loans by novating them to alternative lenders.


As a lender, we will normally charge you an administration fee of 1% per annum of the amount of your loan commitment which is still outstanding under the loan agreement. This will be deducted from the gross interest paid by the borrower before we distribute your net interest.

Trillion Fund may reduce this fee in certain instances, including "Early Bird lenders" and in "lender-get-lender" offers where you introduce new members to the platform and these members then go on to lend money.

All other fees in connection with the Trillion Fund service will be charged to the borrowers or to third parties.


None of the materials or information on this website are intended to amount to, or should be seen as, advice, or a recommendation to buy or sell any investment or enter into any transaction.

You should consider whether any investment or transaction is suitable or appropriate for you and take such independent advice as you consider is appropriate.

Trillion Fund will conduct a minimum level of due diligence on loans and investments offered via the platform to ensure that the contents of the offer are fair clear and not misleading and that information is factually correct. It does not, however, validate claims made by the borrower. You should conduct your own research and analysis of a loan offer and where appropriate, seek your own independent financial advice.


We (or our licensors or other third parties whom we permit to place material or links on the website), are the owner or the licensee of all intellectual property rights in this website and in the material published or otherwise available on it. These works are protected in all relevant jurisdictions by copyright laws and treaties. All our rights are reserved.

You must not use print copies or download any extracts from any part of the website, other than as permitted by these Terms or if we otherwise expressly authorise you in writing to do so.  You are permitted to print copies and download extracts of those areas of our website to which we have granted you access for your own non-commercial, personal use and/or to seek advice on the same from your legal or professional financial advisers, provided always that (i) you do not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and do not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text; and (ii) you ensure that the attention of your legal or professional financial advisers (being the only permitted recipients) is drawn to these Terms and any confidentiality provisions and/or additional restrictions on distribution set out in the materials you have printed off or downloaded.

If you print, copy or download any part of our website in breach of these Terms of Use, any right you may have to use our website will immediately cease and you must return or destroy any copies of the materials you have made.


You will be required to provide personal details and a password to register as a member of the Trillion Fund platform. These registration details and password are unique to your individual Trillion Fund Account and are not transferable. 

You must keep your registration details secure at all times, as these details will be used to identify you. You are responsible for all information and activity on the platform by anyone using your details. If you authorise an agent, family member, employee or sub-contractor to use your Trillion Fund Account, you will be responsible for their activity on the account. Any breach of security, loss, theft or unauthorised use of your security details must be notified to us immediately. We reserve the right not to act on your instructions where we suspect that the person logged into your Trillion Fund Account is not you or we suspect illegal or fraudulent activity or unauthorised use.

You agree not to adapt or circumvent the systems in place in connection with the platform, nor access our systems other than by using the credentials assigned to you and by following the instructions that we have provided for that type of connection.

Our use of your data will be subject to our Privacy Policy.

We will carry out identity checks on you and by providing us with any personal details or any details of your business, you authorise us to carry out checks using credit reference agencies.


Nothing in these terms and conditions excludes or limits our liability for death or personal injury caused by our negligence or for our fraud or excludes or limits our duties or any liability under the Financial Services and Markets Act 2000 or any rules or requirements of the Financial Conduct Authority (“FCA Rules”).

The materials and other information on this website are intended to be updated from time to time. This means the content of the website may change at any time. Any of the information on this website may be out of date at any given time, and we are under no obligation to update it. At our discretion, we may suspend access to the website, or suspend or shut it down indefinitely.

To the extent permitted by law and the FCA Rules, we, other members of our group of companies and third parties connected to us hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity, including but not limited to warranties of fitness for a particular purpose and warranties of satisfactory quality.

In no event will Trillion Fund, its affiliates, agents, suppliers or licensors be liable for any loss of profits, goodwill, business, contracts, revenue, or anticipated savings, any loss or corruption of data or any indirect or consequential loss or damage whatsoever that may arise directly or indirectly from the use of (or failure to use) or reliance on this website or any information provided in it. The preceding sentence applies even if Trillion Fund has been advised of the possibility that such damages may arise. Trillion Fund does not guarantee the accuracy, content, or timeliness of any services or that they or the website are free from viruses or other contaminating or destructive properties.

In no event will any liability of Trillion Fund or its affiliates, agents, suppliers and licensors to you (and/or any third party) that may arise out of any kind of legal claim (whether in contract, tort, or otherwise) in any way connected with use of this website or in breach of these terms by Trillion Fund exceed the amount, if any, paid by you to Trillion Fund for the particular service to which the claim relates.

We do not guarantee that there will be sufficient bids to fully fund loans or that there will be sufficient borrowers for you to lend to.

You agree that you will be liable to Trillion Fund, its affiliates, agents, suppliers and licensors from any reasonable foreseeable claims and expenses, including reasonable legal fees, related to any breach of these terms by you or your use of this website.

You agree to indemnify us and keep us indemnified against all costs, expenses, claims, losses, liabilities or proceedings arising from misuse by you of this website.

We aim to resolve your complaint within 72 hours. If we are not able to do so, we will provide you with an acknowledgment.

After we have had an opportunity to investigate your concerns, we will issue you with a final response. Depending on the nature of your complaint and if you remain dissatisfied with our response, you may have the right to refer your case to the Financial Ombudsman Service at South Quay, Plaza, 183 Marsh Wall, London E14 9SR; telephone 0845 080 1800;  e-mail enquiries@financialombudsman.org.uk/. We will advise you if this right of referral applies to you.

If you are unhappy with any product you have received from an investment provider or other third party, you should direct your complaint directly to them.

If Trillion Fund becomes insolvent at a time when it owes you money, you may, in certain circumstances, be able to claim compensation.

If the money we owe to you relates to investments rather than loans, in the event of our insolvency you may be able to seek compensation from the Financial Services Compensation Scheme ("FSCS"). The maximum amount of compensation available in respect of securities business is £50,000.

The FSCS will not apply to Trillion Fund as a peer-to-peer lending platform, although your money will be held in bank accounts with external credit institutions and subject to separate protections.

If the bank or building society holding your money in our client account becomes insolvent, you may be able to claim compensation from the FSCS. In such an event, we will inform you of the identity of the credit institution to enable you to pursue such claim. The maximum amount of compensation in respect of a UK credit institution is £85,000.

In the event of our insolvency, we may enter into arrangements with an appropriately qualified third party service provider, in order to wind up any outstanding loans or investments. You will be notified of any such arrangements if and when these become relevant to you.


Whilst all reasonable endeavours will be made to ensure the maintenance and availability of this website, Trillion Fund does not accept liability arising from any errors, omissions, interruptions of service or delays that may occur in connection with this website.

There may be times when our online services are unavailable due to planned maintenance. We will try to inform you in advance of any such suspension through a general notice on this website but this may not always be practicable.

We may vary the specification of this website from time to time without notice.


Before you buy any loans or investments advertised on this website, you should make sure that you fully understand the risks which are set out in the relevant offer document and you should determine whether the loan or investment is suitable for you on the basis of all the information contained in the this document.

Trillion Fund, our affiliates and their information providers will not be liable or deemed to be in default for any delay or failure in performance or interruption of the delivery of the content that may result directly or indirectly from any cause or circumstance beyond its or their reasonable control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorised access, theft, operator errors, severe weather, earthquakes or natural disasters, strikes or other labour problems, wars, or governmental restrictions.

Trillion Fund shall not be responsible for the content of third party materials or information or the operations of third party websites linked to the Trillion Fund website, except to the extent that it has expressly accepted such responsibility or that it was Trillion Fund's legal obligation to verify such information.

The website and any applications may include comments capability, bulletin boards, discussion groups and other public areas or features that allow feedback to Trillion Fund and interaction between users and Trillion Fund representatives in forums. While Trillion Fund does not control the information/materials posted to such forums by users, it reserves the right (which it may exercise at its sole discretion without notice) to delete, move or edit any messages you post including any containing such information or materials and to terminate your access to and use of the forums.

Trillion Fund has no control over individuals posting messages on any forum. Trillion Fund cannot guarantee the accuracy, integrity or quality of any messages. Some users may breach these terms and post messages that are misleading, untrue or offensive. You must bear all risk associated with your use of the forum and should not rely on messages when you make (or refrain from making) any specific investment or other decision.

By submitting a message to a forum you are granting Trillion Fund a perpetual, irrevocable, royalty free non-exclusive licence to reproduce, modify, translate, make available, distribute and sub-license the message in whole or in part, and in any form. This may include personal information such as your user or pen name and your expressions of opinion. Trillion Fund reserves the right to contact you by e-mail about your use of the forums. You waive any moral rights that you may have in regard to the messages you submit.

It is not possible for Trillion Fund fully and effectively to monitor messages to check for infringement of third-party rights. If you believe that any content infringes your legal rights, you should notify Trillion Fund immediately using the contact@trillionfund.com.


You must not misuse the website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our website, the server on which our website is stored, or any server, computer or database connected to this website. You must not attack or procure any attachment on this website via a denial-of-service attack.

By breaching this provision, you may commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your rights to use this website will cease immediately.

We will not be liable for any loss or damage caused by a denial-of-service attack or Viruses that may infect your computer equipment, computer programmes, data or other proprietary material due to your use of this website or by your downloading of any material posted on it, or on any website linked to it.

These terms are governed by and to be construed in accordance with English law. The English courts will have exclusive jurisdiction over any claim relating to any visit to our website. We reserve the right, exclusive to Trillion Fund, to bring proceedings against you for breach of these terms or for any other wrongdoing in any other country, including any claim for interim remedies.


We may change the identity of our client money partner or undertake this role ourselves directly without obtaining your consent, provided that the new client money provider is capable of fulfilling such function in compliance with all legal and regulatory requirements and that we shall update these Terms and Conditions to reflect the client money arrangement that is current at the relevant time.

We expect to need to make changes as the range of products and services expands. We may vary these terms and conditions at any time and may in particular change the basis on which the website operates, and Information is provided, in the future. We may also amend these terms if we believe it necessary to comply with changes in law and regulations.

We will use reasonable efforts to draw the attention of users to any changes before they take effect, You are recommended to review the terms set out on this page regularly and are expected to do so, so as to take notice of any changes we make, as they are binding on you.

Where these are material changes we will notify you of changes but not seek your advance agreement. Where changes affect your rights, use of data, fees or any other material aspect of your membership we will seek your explicit consent.


This clause constitutes our conflicts policy. In the event that any conflicts arise which we could not effectively manage, we would not be in a position to provide our services to you.

In addition to acting for members who are lenders, we also act for borrowers.  We owe obligations to treat borrowers and investees fairly and encourage responsible fundraising.  Our primary obligation in the event of a borrower or investee default is owed to lenders and investors in order to ensure recovery of sums due and owing, but we will take borrower or investee circumstances into account where strict enforcement of the loan or investment agreement would produce an unfair or disproportionate result.

We will seek to serve the interests of all lenders and investors equally, but where lenders' or investors' interests diverge, it may be possible for individual lenders or investors to pursue their rights directly against borrowers or investees.

You agree that we or any of our associates may effect transactions for you in which we or an associate has directly or indirectly a material interest or a relationship of any description with another party which involves or may involve a potential conflict with our duty to you. We shall ensure that such transactions are effected on terms that are not less favourable to you than if the conflict or potential conflict of interest had not existed.

Subject to the terms of this conflicts policy neither we nor any of our associates shall be required to account to you for any profit, commission or remuneration made or received from or by reason of such transactions.


If you use an intermediary in connection with your decision to make a loan through the Trillion Fund platform, your intermediary is responsible for disclosing to you their fees that relate to the advice or service that they give to you.

We may pay a commission to your intermediary where we disclose this to you in advance by email.


We may send any communications to you at the email address that you provide to us in the application form (or to any updated email address that you may notify to us in writing from time to time). Any original documents will be sent to the last postal address you have notified to us.

As a lender you agree that all communications from the borrower may come via Trillion Fund.

Notice sent by first class post to such address is deemed to have arrived on the second business Day after posting. Notice sent by email or hand delivered is deemed to be delivered immediately (or on the next business Day if sent after 5pm on a business Day or on a non-business Day).
